What this document is.

These Terms of Service ("Terms") form a binding agreement between you ("you", "Customer") and Aecendion ("we", "us", "our"), the operator of the Aecendion CRM software available at app.aecendion.com and related interfaces (the "Service").

By signing up for an account, accessing the Service, or clicking a button labelled "I agree" or similar, you accept these Terms and our Privacy Policy. If you don't agree, don't use the Service.

02Eligibility

Who can use Aecendion.

You may use the Service only if:

  • You are at least 18 years old (or the legal age of majority in your jurisdiction).
  • You have the authority to enter into these Terms on behalf of any business you represent.
  • Your use of the Service is not prohibited by the laws of your country or any sanctions regime that applies to us.

Aecendion is a B2B product. It is not directed at, marketed to, or intended for personal/consumer use.

03Your account

Account responsibilities.

You are responsible for everything that happens under your account — including activity by any teammate, agent, or process you authorize. To keep things safe, you agree to:

  • Provide accurate sign-up information and keep it current.
  • Keep your password and any access tokens private; we recommend a password manager.
  • Notify us promptly at support@aecendion.com if you suspect unauthorized access.
  • Not share a single account between unrelated people or businesses.

We may suspend or terminate accounts that we reasonably believe are compromised, until you can demonstrate they're safe.

04The service

What we provide — and the beta caveat.

Aecendion unifies inbound messaging from Meta's platforms (Facebook Messenger, Instagram Direct, WhatsApp Business) into a single inbox, with AI-assisted lead scoring and pipeline management. The exact feature set evolves as the product matures.

The Service is currently in invite-only beta. This means features may change, break, or be reworked without long advance notice; the AI's outputs are imperfect; and uptime is not yet contractually guaranteed. By participating in beta you accept this trade-off in exchange for early access.

We aim to keep the Service available and responsive. When we plan disruptive changes we'll do our best to give you reasonable notice — but we make no specific uptime, latency, or feature-stability promise during the beta period.

05Acceptable use

What you mustn't do.

You agree not to use the Service to:

  • Send spam, unsolicited bulk messages, scams, phishing, or any content prohibited by the messaging platform you're sending through (Meta's policies bind you here).
  • Harass, defame, threaten, or knowingly distribute illegal content of any kind.
  • Reverse engineer, scrape, or attempt to derive source code (beyond what local law allows you to do despite contrary contract terms).
  • Bypass rate limits, security controls, or quotas — your own or those of any integrated platform.
  • Resell, sublicense, or white-label the Service to third parties without a written agreement with us.
  • Use the Service to develop a competing product.
  • Upload viruses, malware, or anything intended to compromise the Service or its users.

We may suspend access if we reasonably believe you're violating this section. For severe or repeated violations we may terminate the account immediately.

06Meta compliance

The platforms you're using through us.

When you connect a Facebook Page, Instagram account, or WhatsApp Business Account to Aecendion, you remain bound by Meta's platform terms — including the Meta Platform Terms, the Developer Policies, the Messenger Platform Policy, the WhatsApp Business Solution Terms, and the WhatsApp Commerce Policy. These are in addition to, not replaced by, our Terms.

If Meta restricts, suspends, or removes any of your connected assets, the corresponding functionality in Aecendion stops working through no fault of ours. We will help you understand why where we can, but we can't override Meta's decisions on your behalf.

07Your data

Who owns what.

You own your customer data. The messages your customers send you, the contact records derived from them, your pipeline state, your notes — all of it remains yours. We process it on your behalf strictly to deliver the Service, as detailed in our Privacy Policy.

You grant us a limited licence to host, process, transmit, and display this data only as needed to operate the Service for you and your team — and, where you've enabled AI features, to send relevant message content to our AI provider for the purposes described in §08.

You are responsible for ensuring that you have the right to share each piece of customer data with us — including any disclosures or consents your local privacy laws require you to obtain from the customers whose messages we'll process.

You can export, correct, or delete your data at any time. See our User Data Deletion instructions for the exact process.

08AI features

What the AI does, and what it doesn't.

Aecendion offers AI features that read your messages to score lead intent, summarize threads, extract structured facts, and suggest actions. These features work by sending relevant message content to a third-party AI provider (currently Anthropic / Claude) under data-handling terms that prohibit training on your data.

You should treat AI output as a helpful first draft, not a substitute for human judgement. We don't guarantee its accuracy. Acting on AI suggestions — sending a reply, marking a deal won, deleting a record — remains your decision and your responsibility.

You can disable AI features per account at any time. With them disabled, no message content is transmitted to the AI provider.

09Fees

What it costs.

During the invite-only beta the Service is offered without charge to invited accounts. We may introduce paid plans before the beta ends; if so, we'll give you at least 30 days' written notice before any account you operate becomes chargeable, and you'll be free to stop using the Service rather than pay.

If paid plans apply to your account, you agree to pay the fees published at the time you subscribe. Fees are exclusive of taxes; you are responsible for any sales, use, VAT, GST, or similar tax that applies to your purchase.

We may suspend access to paid features if an invoice goes unpaid past its due date, after attempting to contact you about it.

10Intellectual property

Who owns what, part two.

We own the Service. The software, design, documentation, brand, and accumulated know-how that make up Aecendion belong to us. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your business while these Terms remain in effect — nothing more.

You own your content. Your messages, your contacts, your pipeline, your notes, your AI prompts, your branding — all yours. We have no IP claim over your customer data or anything you upload.

If you give us feedback or suggestions, we may use that feedback to improve the Service without owing you anything in return.

11Disclaimers

The honest disclaimers.

To the maximum extent permitted by law, the Service is provided "as is" and "as available". We disclaim all implied warranties — including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or trade usage. We don't warrant that the Service will be uninterrupted, error-free, secure against every threat, or that AI outputs will be accurate or appropriate for your business decisions.

Limitation of liability. To the maximum extent permitted by law, neither party will be liable for indirect, incidental, consequential, special, exemplary, or punitive damages — including lost profits, lost revenue, lost data, business interruption, or cost of substitute services — arising out of these Terms or the Service. Our total cumulative liability under these Terms is capped at the fees you paid us for the Service in the twelve months before the event giving rise to the claim, or USD 100, whichever is greater. Nothing in this section limits liability that cannot lawfully be limited (e.g. for fraud, willful misconduct, or death/personal injury caused by negligence where applicable).

You agree to indemnify us against third-party claims arising from (a) your violation of these Terms, (b) content you upload or send through the Service, or (c) your violation of any applicable law or third-party right. We'll let you know promptly if such a claim arises and cooperate reasonably in its defence.

12Termination

Ending the relationship.

You can terminate your account at any time by deleting it through the in-app flow (Settings → Account → Delete account) or by emailing support@aecendion.com. See our data-deletion instructions for what gets removed.

We may suspend or terminate your access if you materially breach these Terms, use the Service for prohibited purposes, or if we're legally required to stop providing the Service to you. Where reasonable, we'll give you a chance to fix the issue first.

On termination: your right to use the Service ends; we delete your data as described in the Privacy Policy and data-deletion page; provisions that by nature should survive (IP, disclaimers, liability cap, indemnity, governing law) survive.

13Governing law

Where disputes get sorted.

These Terms are governed by the laws of Sri Lanka, without regard to conflict-of-laws principles. The courts of Colombo, Sri Lanka have exclusive jurisdiction over any dispute arising out of these Terms, subject to any mandatory rights you may have under local consumer-protection law that we can't contractually override.

Before filing anything, we ask that you email support@aecendion.com describing the issue. Almost every disagreement is resolvable that way.

14Changes & contact

When this document changes.

We may update these Terms when the Service, our business, or the law changes. Substantive changes will be flagged to active account holders by email at least 14 days before they take effect; minor clarifications are reflected in the "Last updated" date above. Continued use of the Service after the effective date constitutes acceptance.

These Terms, together with the Privacy Policy and any policies they incorporate, form the entire agreement between us with respect to the Service. If any provision is held unenforceable, the rest stays in effect. A waiver of one breach is not a waiver of any other. You may not assign these Terms without our consent; we may assign them to an affiliate or successor.
